These Terms of Service (the "Terms") form a binding agreement between you ("you", "your", or "User") and FactoringCalc ("Company", "we", "us", or "our") governing your access to and use of our website and services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Acceptance

  1. You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have the consent of a parent or legal guardian.
  2. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
  3. Your continued use of the Service after changes to these Terms indicates acceptance of the updated Terms.

2. Accounts and Security

  1. Some features may require an account. You agree to provide accurate and complete information and to keep it up to date.
  2. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
  3. Notify us immediately of any unauthorized use or suspected breach of security.
  4. We may suspend or terminate accounts that are inactive, violate these Terms, or pose security risks.

3. Permitted Use

  1. The Service is provided for lawful, personal, educational, or internal business purposes.
  2. Unless otherwise stated, our calculators and tools may be embedded or linked as documented, provided you do not remove attributions or misrepresent the source.
  3. Automated access (e.g., bots, scrapers) is allowed only to the extent it does not degrade Service performance and complies with applicable rate limits and robots directives.

4. Prohibited Use

You agree NOT to, and will not assist others to:

  1. Violate any applicable law, regulation, or third-party rights.
  2. Reverse engineer, decompile, or otherwise attempt to derive source code or underlying models except to the extent permitted by law.
  3. Interfere with or disrupt the integrity or performance of the Service, including excessive requests, DDoS, or introducing malware.
  4. Misuse the Service to generate, upload, or distribute illegal, harmful, infringing, defamatory, or deceptive content.
  5. Remove or alter any proprietary notices or attributions.
  6. Resell, sublicense, or provide the Service to third parties as a standalone offering without our prior written consent.

5. Intellectual Property

  1. The Service, including all content, features, and functionality, is owned by the Company or its licensors and is protected by intellectual property laws.
  2. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.
  3. Trademarks, logos, and service marks displayed on the Service are the property of their respective owners. No rights are granted by implication.

6. User Content

  1. If the Service allows you to submit content, you retain ownership of your content.
  2. You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your content solely as necessary to operate and improve the Service.
  3. You represent that you have all rights necessary to submit the content and that it does not violate any law or third-party rights.
  4. We may remove content that violates these Terms or applicable law.

7. Privacy and Data

8. Embeds and Third-Party Sites

  1. The Service may provide embed codes and links. Third-party websites are not under our control, and we are not responsible for their content or practices.

  1. We may modify or discontinue the Service (in whole or in part) at any time with or without notice.
  2. We strive for high availability but do not guarantee uninterrupted or error-free operation.

10. Disclaimers

  1. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
  2. We do not warrant that calculations, outputs, or results are accurate, complete, or suitable for any particular purpose. Verify results independently.
  3. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

  1. To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill.
  2. Our aggregate liability for any claim related to the Service will not exceed one hundred U.S. dollars (US $100) or the amount you paid to use the Service in the 12 months preceding the claim, whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Service or violation of these Terms.

13. Termination

  1. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms.
  2. Upon termination, provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitations of liability, indemnification) will remain in effect.

14. Governing Law and Dispute Resolution

  1. These Terms are governed by the laws of the State of Alaska and the United States, without regard to conflict of law principles.
  2. Exclusive jurisdiction and venue lie in the state and federal courts located in Anchorage, Alaska, unless applicable law requires otherwise.

15. Changes to These Terms

  1. We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date.
  2. Your continued use of the Service after the effective date constitutes acceptance of the changes.
